1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Pedagio ("we", "our", or "us"), the operator of pedagio.app("the Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
These Terms apply to all users of the Platform, including academy operators ("Operators"), students/learners ("Students"), and visitors.
2. Description of Services
Pedagio provides a software-as-a-service platform that enables educators, coaches, and training institutes to:
- Create and manage branded online academies.
- Publish and sell courses, live sessions, and learning content.
- Manage student enrolments, attendance, and progress.
- Collect fees via integrated payment gateways or offline methods.
- Communicate with students via in-platform messaging and announcements.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.
3. Eligibility
You must be at least 18 years old to create an Operator account. By registering, you represent that you are of legal age to form a binding contract. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
4. Account Registration and Security
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately at [email protected] of any unauthorised use of your account.
- We are not liable for any loss arising from unauthorised account access due to your failure to safeguard credentials.
5. Subscriptions and Payments
5.1 Plans
Access to certain features requires a paid subscription. Plan details, features, and pricing are described on our Pricing page. We may change pricing with 30 days' notice to existing subscribers.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All amounts are in Indian Rupees (INR) unless stated otherwise and are inclusive of applicable taxes (GST).
5.3 Failed payments
If a payment fails, we will make reasonable attempts to collect the outstanding amount. Access to paid features may be suspended until payment is received.
5.4 Student payments
Payments made by Students to Operators through the Platform are transactions between the Student and the Operator. Pedagio acts as a technology facilitator, not a party to those transactions. Disputes between Students and Operators regarding course fees must be resolved between them directly.
6. Operator Responsibilities
As an Operator, you agree to:
- Comply with all applicable laws, including consumer protection, data privacy, and taxation laws.
- Not publish content that is illegal, defamatory, obscene, or infringes third-party intellectual property rights.
- Accurately represent your courses and services to students.
- Honour refund commitments made to students consistent with our Refund Policy and your own stated policies.
- Maintain a valid GST registration (if applicable) and comply with GST filing obligations for fees collected from students.
- Not use the Platform to facilitate fraudulent transactions or mislead students.
7. Intellectual Property
7.1 Our IP
The Platform, including its design, code, trademarks, and content created by Pedagio, is owned by or licensed to us and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.
7.2 Your content
You retain all ownership rights to the content you upload to the Platform. By uploading content, you grant us a non-exclusive, royalty-free, worldwide licence to host, store, transmit, and display that content solely to provide the services. We do not claim ownership of your content.
8. Prohibited Uses
You must not:
- Use the Platform for any unlawful purpose or in violation of these Terms.
- Upload viruses, malware, or other harmful code.
- Attempt to gain unauthorised access to our systems or other users' accounts.
- Scrape, crawl, or index the Platform without our written permission.
- Use the Platform to send spam or unsolicited commercial communications.
- Impersonate another person or entity.
- Interfere with the Platform's availability or performance.
9. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Pedagio and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising from your use of (or inability to use) the Platform.
Our total cumulative liability to you for any claims arising out of or related to these Terms shall not exceed the amount paid by you to us in the 3 months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pedagio and its affiliates, officers, directors, and employees from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your content; or (d) your violation of any law or the rights of a third party.
12. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Platform ceases. Data deletion timelines are described in the Privacy Policy.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in India.
14. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
