Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and ETmantra Software Labs Pvt. Ltd., which operates Parishad at parishad.app ("we", "our", "us", or "the Platform"). By using the Platform you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms apply to everyone who uses the Platform: organisations that run their society on it ("Societies") and their administrators, the members of those Societies ("Members"), and visitors.

2. The Service

Parishad lets Societies:

  • Run a branded website and member portal.
  • Manage membership tiers, numbers, renewals and member records.
  • Collect membership, event and other fees through their own payment gateway accounts or offline.
  • Run committees, chapters, forms, surveys, events and conferences.
  • Communicate with members through email, announcements and chat.

We may change, suspend or discontinue parts of the Platform with reasonable notice.

3. Eligibility

You must be at least 18 years old to create a Society account. If you register on behalf of a Society, you confirm that you are authorised to bind it to these Terms.

4. Accounts and Security

  • Give accurate, current and complete information when you register.
  • Keep your sign-in details confidential. You are responsible for activity under your account.
  • Tell us straight away at [email protected] if you suspect unauthorised use.
  • We are not liable for loss caused by unauthorised access that results from your failure to protect your credentials.

5. Plans and Payments

5.1 Plans

Some features need a paid plan. Plan features, limits and prices are listed on our Pricing page. We may change prices with 30 days' notice to existing subscribers.

5.2 Billing

Paid plans are billed in advance, monthly or annually. Amounts are in Indian Rupees (INR) unless stated otherwise, and GST is charged as applicable.

5.3 Plan limits

If a Society reaches a limit of its plan, such as its number of active members, existing members keep their access and renewals continue, but new additions may pause until the Society upgrades.

5.4 Failed payments

If a payment fails we will try to collect it. Paid features may be suspended until it is received.

5.5 Payments from Members to Societies

Fees that Members pay to a Society (membership, event or other fees) are paid into the Society's own payment gateway account and are transactions between the Member and the Society. Parishad provides the technology and is not a party to them. Questions or disputes about these fees, including refunds, must be resolved with the Society.

6. Society Responsibilities

A Society using the Platform agrees to:

  • Comply with applicable laws, including data protection, consumer protection and tax laws.
  • Have a lawful basis, such as consent, for the member data it collects and the messages it sends.
  • Not publish content that is unlawful, defamatory, obscene or infringes anyone's rights.
  • Describe its memberships, events and fees accurately, and honour its own refund policy.
  • Hold any GST registration required for fees it collects.
  • Not use the Platform for fraud or to mislead Members.

7. Intellectual Property

7.1 Ours

The Platform, including its design, code and trademarks, belongs to us or our licensors. You may not copy, modify, distribute or reverse-engineer it without our written consent.

7.2 Yours

Societies and Members keep ownership of the content they upload. You give us a non-exclusive, royalty-free, worldwide licence to host, store, transmit and display that content only to provide the Platform.

8. Prohibited Uses

  • Using the Platform unlawfully or in breach of these Terms.
  • Uploading malware or other harmful code.
  • Trying to access systems or accounts without authorisation.
  • Scraping or crawling the Platform without our written permission.
  • Sending spam or unsolicited messages.
  • Impersonating another person or organisation.
  • Interfering with the Platform's availability or performance.

9. Disclaimers

The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that it will be uninterrupted or error-free.

10. Limitation of Liability

To the extent the law allows, we and our directors, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from use of the Platform.

Our total liability for any claim relating to these Terms is limited to the amount you paid us in the 3 months before the event that gave rise to the claim.

11. Indemnity

You agree to indemnify us and our affiliates, officers, directors and employees against claims, losses and costs (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, your content, or your breach of any law or third-party right.

12. Termination

You may close your account at any time by contacting us, and Members can request account deletion from the app. We may suspend or terminate access immediately for breach of these Terms, fraud, or where the law requires it. Data deletion is described in our Privacy Policy. A Society can ask us to export its member data before closing.

13. Governing Law

These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith negotiation. If it is not resolved within 30 days, it is subject to the exclusive jurisdiction of the courts at Agra, Uttar Pradesh, India.

14. Changes to These Terms

We may update these Terms. For material changes we will notify Society administrators by email or on the Platform at least 14 days before they take effect. Continued use after that date means you accept the new Terms.
